Chapter I General Provisions

 Article 1 [Purpose and Basis] In order to create a fair, safe, and reliable trading environment for the users, maintain the normal operation order of the HTX OTC Platform (hereinafter referred to as "the Platform") and protect the legitimate rights and interests of users, the Platform, in accordance with the User Service Agreement and other relevant rules and regulations of the Platform, manages the users through a credit points system, specify the corresponding credit-points-based management and punishment mechanism, for the purpose of regulating the transaction conducts of users, and providing high-quality service experience to the users.
       

Article 2 [Scope of Application] These Rules shall apply to all non-Chinese-mainland users who publish advertisements on the Platform. Upon becoming a user of HTX, you shall abide by these Rules and be bound by them. If you do not agree to be bound by these Rules and the revised related content, please stop using the related service of HTX.


Article 3 [Effectiveness] These Rules and the annex thereto, Detailed Implementing Rules for the Punishment of Violations of the user Credit Points Management, shall have the same effect and are collectively referred to as "These Rules". If there is any specific provision on a matter in these Rules, such provision shall prevail; if there is no specific provision on such matter in these Rules, such matter shall be subject to other relevant rules of the Platform.                                     

 

Chapter II Transaction Rules

Article 4 Basic Principles to Be Observed in Transaction

Users shall strictly abide by the basic principles of honest and fair transactions, such as timely payment, quick release, and refraining from malicious hindering of orders, malicious bids, and random cancellation of orders. High-quality Users shall be characterized by quick payment, quick release, low appeal rate, low cancellation rate, good service attitude, and a strong sense of service, inter alia.

Article 5 Basic Conditions to Be Observed in Transaction

1. Be responsible for one’s own advertising, confirm the advertised price and quantity; remove one’s advertisement when exiting or getting offline.

2. Be familiar with the transfer regulations of all relevant banks and complete the transfer efficiently within the effective time of orders.

3. After receiving a payment transfer from the buyer, check the amount and real-name information in time and release what is purchased quickly.

4. Lodge a complaint only when it is necessary. It is forbidden to lodge any complaint maliciously due to any dispute with the transaction counter-party.

5. Users shall have a good sense of service and a good service attitude, respond promptly and be polite in language.

6. Users shall respect the Platform's customer service personnel.

                       

Chapter III Credit Points Management Rules

Article 6 The Platform implements a credit-points-based management system for Users. The initial credit points for each User shall be one hundred(100) points.

Article 7 Details of the mechanism of punitive credit point deductions against violations by Users are available in the Detailed Implementing Rules for the Punishment of Violations of Users Credit Points Management.

Article 8 Where the total number of credit points of a User that are deducted within thirty(30) days reaches ten (10), transaction by such Users shall be restricted for one(1) day; where the number reaches twenty (20), the User’s transaction shall be restricted for three(3) days; where the number reaches thirty (30), the User’s transaction shall be restricted for one(1) month.

Article 9 After a User's credit points are deducted and the number of its credit points after such deduction remains unchanged for thirty (30) days, then the number of credit points of such User may be restored to one hundred (100) points.

1. Where a User uses its alternative account to deliberately hinder the proceeding of an order or seeks to hinder the proceeding of order by making or demanding a large amount of payment, then upon proper verification and confirmation of such malpractice, the transaction in the User’s account shall be restricted on the basis of the actual circumstances.

2. Where a User fails to cooperate with the Customer Service Department in processing any order or deliberately delays the processing of any order, and the circumstances are serious, the transaction in the User’s accounting shall be restricted on the basis of the actual circumstances.

3. Where any user sustains any loss when the User refuses to assist the resolution of any dispute over order, the Security Deposit paid in by the User may be deducted depending on the seriousness of the case (please refer to the User Service Agreement for more details).

4. Where any operation of a User is deemed as illegal or criminal by any competent judicial authority, assets in the User’s account may be frozen as is required by the judicial authority (please refer to the User Service Agreement for details).

Chapter IV Supplementary Provisions

Article 10 These Rules shall take effect as of the date of promulgation thereof by the Platform.

Article 11 The Platform reserves the right to modify these Rules at any time without your consent. You agree to be bound by such modified version of these Rules.

Article 12 The ultimate right to interpret these Rules shall be vested in the Platform.

 

Annex: Detailed Implementing Rules for the Punishment of Violations of the User Credit Points Management

1. The Seller accepts any payment from any user’s account that is not a real-name account with the Platform

2. The Buyer transfers money to any user using an account other than its real-time certified account with the Platform.

3. The account number in the User's payment collection method information and the payee's name in the QR code are inconsistent with the payee's name shown on the page for the details of the corresponding order.

4. The seller requires to carry out KYC on the buyer, but not clearly stated after the order was created. After the buyer paid, the seller refuses to release coins or continue this order.

5. The Buyer has completed the KYC, the seller does not provide or provide the wrong payment information, after being reminded by the buyer or customer service,  the seller still does not provide the correct payment information.

6. Payment methods that cannot be used by the locals in the corresponding area then appear in the payment method of the ads. 

For example Ads in Australia cannot use Alipay and WeChat to receive and make payments. 

The platform has the right to remove the advertisement immediately, and determine whether the advertiser has committed this behavior maliciously, and the corresponding points will be deducted based on the degree of bad behavior and the degree of cooperation.

7. The advertiser requires the trader to use a payment method that is not supported by the platform and cannot be used by the trader. 

For example Ads in Australia may not require the trader to use Alipay to receive and make payments.

 

The platform has the right to remove the advertisement immediately, and determine whether the advertiser has committed this behavior maliciously, and the corresponding points will be deducted based on the degree of bad behavior and the degree of cooperation.

8. If the advertisement supports two or more payment methods at the same time, the price of the advertisement must support all payment methods for the transaction but not only support a certain payment method.

 

The platform has the right to remove the advertisement immediately, and determine whether the advertiser has committed this behavior maliciously, and the corresponding points will be deducted based on the degree of bad behavior and the degree of cooperation.

Handling of Fund Security and Account-related Irregularities 

 

 

1. The Platform has reasonable evidence proving that the User directly participates in or assists money laundering.

Directly freeze the User's account and its associated accounts, and report to the competent judicial authorities as appropriate.

2. The Risk Control Department of the Platform proves that the User directly withdraws currency and transfers the same to any third party platform/individual that is suspected of engaging in money laundering, and the User is unable to provide reasonable justification for such withdrawal and transfer.

The associated accounts shall be frozen and the competent judicial authorities shall be alerted as appropriate.

3. The User knows or  can infer from a reasonable common sense that the funds received in other platforms/communities are illicit, but nonetheless ignores the risks and direct channels such funds into the accounts of other users of the Platform

4. The account of any transaction counter-party is frozen due to any payment transfer by the Buyer.

5. User A complained to the payment platform, including but not limited to banks and third-party payment institutions, resulting in the freezing of Advertiser B's payment account. 

Directly and permanently disable the OTC account of user A. if user A is an Advertiser, the Advertiser will be permanently disqualified and the Spot account can be used normally. Within 365 days after the account is disabled, the associated account of the user account doesn't allow to post the advertisement.

Important Reminders:

1). The Platform does not encourage the User to trade in any over-the-counter community. If the User insists on trading in such an over-the-counter community, the Platform hereby reminds the Users to conduct basic KYC on its transaction counter-party (such as authentication through video, authentication through identity card; the identity authentication information of the transaction counter-party shall be kept properly). If illegal digital assets or funds from over-the-counter sources directly flow into the Platform due to the failure of the User to adopt relevant preventive measures, the Platform shall have the right to cancel your trading qualification directly.

Other Conducts That Do Not Conform to the Trading Rules


 

1. The User privately solicits any extra fee from the users or demands any extra illicit payment in any disguised form in any name whatsoever.

2. The User does not respect any user/staff member of the Platform/ any other User, has any verbal conflict with them (using sarcastic or abusive language, etc.) or has any other uncivilized behavior, and nonetheless fails to terminate such conduct after being warned by the Customer Service Department, thus affecting the reputation of HTX brand names.

3. It is determined by the Platform that the User uses its own alternative account or an alternative account that it causes any other person to register, to deliberately hinder the proceeding of any order (or to delay payment).

4. The User is determined by the Platform’s Risk Control Department to have bid for low-price orders through illicit means.

5. The User is determined by the Platform’s Risk Control Department to have maliciously changed the price and is suspected of phishing.

6. The User fails to act according to any consensus that it reaches with any user through proper consultation.

7. The order offered by the User is determined illicit by the Risk Control Department of the Platform or user’s complaint (e.g., abnormal advertisements as are identified by the Risk Control Department, in which an upper limit is not only set for the number of orders received, but also on the minimum amount per order)

8. If an advertisement is in the Top 10 of the advertisement lists in the fiat currency zone, and it is under the condition of sufficient order volume in the area. After the verification was done by the platform like the advertisement was led to other advertisement transactions through an abnormally and strict KYC process, the receiving account could not receive payment or only accepted payment methods that the locals which do not support, etc., which resulted in no transaction for 3 days.

The platform has the right to remove the advertisement immediately, and determine whether the advertiser has committed this behavior maliciously, and the corresponding points will be deducted based on the degree of bad behavior and the degree of cooperation.

9. If the advertiser occupies the rank maliciously and uses other accounts to place and complete an order to falsify transaction data. Such as the advertiser maliciously occupying the seat, and using the team's small number to bid the order, squeeze the data into the transaction.

The platform has the right to freeze the account immediately and determine whether the advertiser has committed this behavior maliciously, and the corresponding points will be deducted based on the degree of bad behavior and the degree of cooperation.

10. If the advertiser needs KYC, but does not contact the counterpart within 30 minutes after the order is generated, and does not respond to the platform staff to cooperate with the order processing.

11. After the Platform intervenes in the handling of any complaint against the processing of any dispute, the User is deemed as having provided false certification materials to the Platform (including but not limited to forging or altering collection and payment certificates, records of online chat and transaction, documents issued by judicial authorities relating to the freezing of accounts and assets, filing materials and other certification documents).

Directly freeze the User's account and its associated accounts, and report to the competent judicial authorities as appropriate.

12. To use the Platform and the privileges it enjoys to engage in any illegal transactions or illicit activities such as money laundering, smuggling, commercial bribery, malicious market manipulation or interference with the trading system or other advertisers.

If there are multiple advertisers complaining to us about this behavior, after research by the platform, your advertiser will be disqualified directly, your account and its associated accounts might be directly frozen.

After the order is created, if the total amount received by the seller is inconsistent with the amount in the order details page, and the buyer refuses to fix the difference: the platform will directly disable all the ads of the buyer, and the ads will not be posted until the order dispute is resolved.

Time Limits for Assistance in Handling Complaints

1. The User, as the buyer, makes any payment transfer to any other user, as a result of which the account of such user is frozen, and in this case, the User fails to provide any feedback to the user on the processing of such freezing to the user twenty-four (24) hours after being notified by the user (the buy-in function of the User’s account will be restricted due to its failure to process within the prescribed time limit)

2. As the seller, the User is determined by the Platform to cancel an order, and the User fails to refund the payment for such order within thirty (30) minutes after the order is canceled (the buy-in function of the User’s account will be restricted due to its failure to process within the prescribed time limit).

3. As the seller, the User voluntarily appeals to the Platform to cancel any order, and yet  fails to refund the payment for such order within ten (10) minutes after the order is canceled (the buy-in function of the User’s account will be restricted due to its failure to process within the prescribed time limit)

4. As the seller, the User cancels an order because the effective term thereof expires, yet the buyer has transferred the payment, and the User fails to refund the payment for such order within sixty (60) minutes after the order is canceled (the buy-in function of the User’s account will be restricted due to its failure to process within the prescribed time limit)

5. As the seller, the User receives any payment that is not made on a real-name basis and fails to refund the payment within twenty-four (24) hours after receiving such payment (the buy-in function of the User’s account will be restricted due to its failure to process within the prescribed time limit)

6. The User has any online advertisement, yet the Customer Service Department cannot get in touch with the User by any means within thirty (30) minutes when the Customer Service Department intervenes in a complaint about an order involving the User.

The User does not have any online advertisement, and the Customer Service Department intervenes in a complaint against any order involving the User between 9:00 and 22:00 on any day, yet cannot get in touch with the User within two(2) hours.
